Introduction:
Some
of you have been provided a description
of Home Depot in the Grove (“Grove
Gate”), authored by Max Strang on behalf
of Home Depot. In the introduction,
Home Depot declares,
“continued
administrative or legal
challenges…..will force Home Depot to
resort to an alternate plan….the
alternate plan will force out Milam’s
Market.”
The
only corporation/entity capable of
forcing Milam’s out is the Home Depot,
as they purchased the Milam’s lease.
Neither the residents nor organizations
of the Grove, nor the City of Miami can
force Milam’s Market out of the
location.
Facts:
In
the later part of 2004, HOME DEPOT
(through its corporate counsel, Thompson
Anderson) executed a lease with Kimzay
of Florida, Inc. (through its Vice
President Raymond Edwards) affording
HOME DEPOT control over
the 8-acre shopping center on the
corner of Bird and McDonald. The
lease
allows HOME DEPOT to “remodel”
or “demolish” any part of the shopping
center. The term of the lease is for
25-years, with 6 successive 5-yr.
options. The lease commenced on
October 8, 2004. It is HOME DEPOT that
will elect to non-renew its lease with
Milam’s. No one else purchased that
right but HOME DEPOT. Milam’s lease
runs out in 2008, HOME DEPOT can
renew the lease, extend the lease, or
allow Milam’s to go
month-to-month…..only HOME DEPOT can
exercise this right.
“The
alternate plan will force out Milam’s
Market,” because HOME DEPOT is
using Milam’s as a hostage, threatening
to end its place in the Grove.
The residents of
Coconut Grove are exercising their
constitutional rights (rights of due
process and open access to courts). In
response to our exercising the rights
afforded to us under the United States
and Florida Constitutions, HOME DEPOT,
the second largest corporation in
America, is vilifying the residents -
claiming the grocery market’s fate is in
the hands of the Grove. If only this
were true…We would never place the
market in peril, and we would never have
placed Milam’s fate in the hands of HOME
DEPOT. It is the Goliath, HOME DEPOT,
that holds Milam’s Market in the palm of
its corporate hand. HOME DEPOT, and
only HOME DEPOT, has the power to
protect Milam’s Market as we have tried,
or, in 2008 HOME DEPOT (and only HOME
DEPOT) can choose to force Milam’s from
the Grove.
These
are the facts. (HOME
DEPOT lease between HOME DEPOT and
Kimzay)
Our
singular concern is the Grove and the
effect of HOME DEPOT on the Grove
including the magnitude and type of
traffic, pollution, crime and road usage
of this 165,000-sq.ft. shopping center
will bring. We love our Village and our
homes. We are continuing this David
versus Goliath struggle, and we do
not and will not fear HOME DEPOT. We
will not be intimidated to forego our
constitutionally protected rights.
